TERMS OF SERVICE

These Terms of Service ("Terms") govern your use of the consulting services, client portal, and website provided by Project Baseline, a Colorado corporation (EIN: 27-0639457) ("Company," "we," "our," or "us"). By engaging our services, submitting an intake form, making a payment, or accessing the client portal, you ("Client," "you," or "your") agree to be bound by these Terms.
1. Services Overview
Project Baseline provides nonprofit consulting services including, but not limited to: organizational development, grant readiness infrastructure, fundraising strategy, policy development, board governance documentation, grant writing, and related professional services.
2. Service Packages
We offer the following service packages, each with defined deliverables:
- Essentials Package ($2,500) - Organization overview deck, fundraising strategy, grant research calendar
- Growth Package ($5,000) - Essentials plus grant toolkit, organizational development plan, and additional materials
- Grant-Ready Package ($7,500) - Comprehensive infrastructure package with full grant application preparation
- Advisory Package ($1,500/month) - Ongoing monthly consulting support (3-month minimum commitment)
- Grant Writing (A La Carte) - Individual grant application services ($1,500 to $7,500 per grant, based on complexity and timeline)
Specific deliverables for each package are outlined in the engagement confirmation provided to you prior to payment.
3. Engagement Process
- Intake: You submit an intake questionnaire describing your organization and needs.
- Discovery: We review your submission and conduct a discovery conversation to determine the best approach.
- Agreement: We provide a detailed engagement summary including package, deliverables, timeline, and investment.
- Payment: By completing payment, you accept these Terms and authorize Project Baseline to commence work.
- Production: We begin producing deliverables. Client materials and information may be requested via the client portal.
- Delivery: Completed deliverables are made available through your secure client portal.
4. Payment Terms
All consulting engagements are non-refundable once payment is processed. By completing payment, you authorize Project Baseline to begin work immediately. No refunds, partial or full, will be issued after payment is received.
- Payment is due in full before work begins, unless otherwise agreed in writing.
- All payments are processed securely through Stripe.
- For Advisory packages, monthly payments are due at the beginning of each month with a 3-month minimum commitment.
- For Grant Writing (A La Carte) services, payment is due before writing begins.
- If additional services are requested beyond the original scope, a separate engagement and payment may be required.
5. Grant Writing Pricing
Grant Writing (A La Carte) pricing is based on two factors: grant complexity and timeline to deadline.

Simple: Standard applications with clear requirements and straightforward narratives.
Moderate: Grants requiring detailed narratives, budget justifications, and multiple attachments.
Complex: Federal/state grants, logic models, evaluation plans, multi-year budgets, and extensive documentation.
Final pricing is confirmed by Project Baseline after reviewing the specific grant requirements and timeline. Client will receive a quote before payment is requested.
6. Client Responsibilities
To deliver high-quality work on time, we need your cooperation. You agree to:
- Provide accurate and complete information about your organization
- Submit requested documents and materials through the client portal in a timely manner
- Respond to communications within 3 business days
- Designate a primary point of contact authorized to make decisions on behalf of the organization
Delays in providing requested information may extend delivery timelines. Project Baseline is not responsible for missed deadlines caused by late client submissions.
7. Delivery Timelines
- Essentials: 5-7 business days from receipt of all client materials
- Growth: 10-14 business days from receipt of all client materials
- Grant-Ready: 14-21 business days from receipt of all client materials
- Grant Writing: Dependent on grant deadline (discussed during engagement)
Timelines begin when all required client documents have been submitted. Project Baseline reserves the right to adjust timelines if the scope of requested information changes.
8. Document Retention and Portal Access
90-Day Retention Policy: All deliverables and uploaded documents will remain accessible in your client portal for 90 days after your project is marked as completed. After 90 days, your account will be archived and portal access will be deactivated. Upon archival, you will receive a complete zip file of all deliverables and uploaded documents via email.
- It is your responsibility to download and retain copies of all deliverables before the 90-day period expires.
- Project Baseline may retain copies of deliverables for internal records and quality assurance purposes.
- Extended portal access beyond 90 days may be available upon request for an additional fee.
9. Intellectual Property
- All deliverables produced for your organization become your intellectual property upon delivery and receipt of full payment.
- Project Baseline retains the right to use general methodologies, frameworks, and non-confidential elements in future work.
- Client-provided materials (logos, documents, data) remain the property of the Client.
- Project Baseline may reference the engagement (organization name and general scope) in marketing materials unless the Client opts out in writing.
10. Confidentiality
Project Baseline will treat all client-provided information as confidential and will not disclose it to third parties without your written consent, except as required by law. This includes organizational documents, financial data, strategic plans, and any proprietary information shared through the portal or during consultations.
11. Limitation of Liability
- Project Baseline provides consulting services and documents based on information provided by the Client and publicly available data.
- We do not guarantee grant awards, funding, or specific outcomes from the use of our deliverables.
- Our total liability for any claim arising from our services shall not exceed the amount paid for the specific engagement.
- Project Baseline is not liable for indirect, consequential, or incidental damages.
12. Dispute Resolution
Any disputes arising from these Terms or our services will first be addressed through good-faith negotiation. If unresolved within 30 days, disputes will be submitted to binding arbitration in Cook County, Illinois, under the rules of the American Arbitration Association. The prevailing party may recover reasonable attorney's fees.
13. Termination
- Either party may terminate an engagement with 7 days written notice.
- If Project Baseline terminates, a pro-rata refund for undelivered services may be issued at our discretion.
- If Client terminates, no refund is provided for work already completed or in progress.
- For Advisory packages, either party may cancel with 30 days notice after the minimum commitment period.
14. Modifications
Project Baseline reserves the right to update these Terms at any time. Material changes will be communicated via email to active clients. Continued use of our services after notification constitutes acceptance of updated Terms.
15. Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles.
